New DoD Rule Shifts Subcontracting Dynamics

The DoD has introduced a game-changing rule, effective since November 17, 2023, that impacts subcontracting for commercial products and services. In the past, prime contractors had the flexibility to choose which FAR and DFARS clauses to pass down to their subcontractors, often leading to confusion and administrative burdens.

Now, the rule is crystal clear: prime contractors "shall not" flow down FAR or DFARS clauses unless specific conditions are met. Contracting Officers are also restricted from adding extra clauses unless required by regulations or customary commercial practices.

While this may seem like a relief for subcontractors, it could increase administrative burdens for DoD prime contractors and their lower-tier counterparts. Contractors must review their practices to ensure compliance. Be cautious: DCMA reviews may find deficiencies if prohibited clauses are discovered in commercial subcontracts. Contractors should also update their standard subcontract terms and conditions to address previously permissible flow downs.

In summary, the DoD's new rule offers clarity but demands a fresh approach to subcontracting practices to maintain compliance in this evolving landscape.

Agency Blanket Purchase Agreement (aka King Makers)

In the wild world of government contracts, 2023 was a bit of a BPA bonanza. For those scratching their heads, BPA stands for Blanket Purchase Agreement, and they're kind of a big deal. Picture this: 1,515 BPA calls were dished out by HHS last year. That's not just a lot of calls; it's a lot of opportunities.

Now, getting a BPA is like having the golden ticket. These contracts, usually part of the GSA Schedule, are like the secret sauce for companies looking to hit it big. And here's why they're the kingmakers of contract vehicles: there's always room to grow. The ceiling on these bad boys can skyrocket, turning a modest contract into a goldmine.

Case in point: over at the U.S. Department of Energy, there was this small business that went from David to Goliath after snagging a BPA contract. Originally an intra-agency thing, it morphed into a cash cow when it opened up to other agencies for a fee. The Dod saw these BPAs and thought, "Why not go big?"
